Terms of Service

This Online Course Purchase and Service Agreement (the "Agreement") governs the relationship between Morld School ("Morld School", "we", "us", or "our") and you in connection with your use of the website at movie.unood.me (the "Platform") and the online video courses, course packages, one-on-one online tutoring, and related teaching, assessment, or other services provided by Morld School over the Internet (collectively, the "Services"). Both parties agree to the rights and obligations regarding the Services as set forth in this Agreement.

1. Review Period and Parties

1. You have reviewed the entire contents of this Agreement for more than 3 days.
2. "You" refers to a member who has successfully registered on the Platform and entered into this Agreement with Morld School through the procedures below (the "Member"). Your personal information and the list of purchased courses are detailed on your member page.
3. The parties to this Agreement are:
   • Morld School (the operator of the Platform)
   • Customer service email: service@unood.me
   • Legal affairs email: legal@unood.me
   • Privacy affairs email: privacy@unood.me

2. Service Contents

The contents of the Services include the following:

1. The website that provides the Services: https://movie.unood.me
2. Eligible users of the Services: open to all
3. The categories of educational content provided by Morld School include but are not limited to: fitness training, walk-to-earn, nutrition, creator economy, software development, and financial investing. Actual courses are determined by the contents shown on the purchase page at the time of purchase.
4. The Platform currently offers the following three categories of products:
   • Online Video Courses (single): Provided in video form. Members watch via HLS streaming on the Platform.
   • Course Packages: Bundled products consisting of multiple online video courses or hours of in-person tutoring.
   • Online 1-on-1 Tutoring: Real-time online instruction provided by Morld School instructors via Zoom. Tutoring courses are real-time services with sessions scheduled in advance by the instructor.
5. The quantity of courses and bonus courses provided by Morld School is as stated in the purchased course list on your member page.

3. Equipment Specifications

To ensure a good experience with the Services, your computer or mobile device should meet the recommendations on the course page and the basic specifications listed below. If your device does not meet these basic specifications and requirements, you understand that it may render the Services unusable or affect their quality:

1. Except for connections provided by Morld School pursuant to an agreement between the parties, you shall apply for and lease the access network connecting Morld School's designated website system from a legally operating telecommunications carrier. The rights and obligations arising from your use of that access network shall be governed by the contract between you and that carrier.
2. If Morld School fails to notify you in advance of the requirements in this Section, and as a result you are unable to use the Services or the quality of the Services is affected, you may assert that this Agreement is not effective.

4. Formation and Effectiveness of the Agreement

1. When you purchase the Services online by clicking the "Agree to Terms and Checkout" button on a page designated by Morld School and completing the online payment process via ECPay, you express your consent to purchase the Services and to use an electronic document as the form of expression. Morld School will then provide an order confirmation page on the Platform and send an order confirmation email to your verified email address for you to reconfirm the contents of the electronic document. Upon your reconfirmation, this Agreement is formed and takes effect.
2. Except in the case above, this Agreement is formed upon signature or seal of both parties on this document.

5. Legal Representative

1. If you are a person with limited capacity, the formation of this Agreement shall require consent from your legal representative for this Agreement to take effect. If you have no legal capacity, this Agreement shall be entered into by your legal representative on your behalf.
2. In the event of a violation of the preceding paragraph, except in the case of Article 83 of the Civil Code, this Agreement shall not take effect, and Morld School shall not request your legal representative to bear contractual performance or compensation liability based on this Agreement.
3. A person with limited capacity shall proactively disclose such limitation before entering into the terms of this Agreement.

6. Course Delivery and Service Period

Morld School authorizes you to use the Services under the following terms:

6.1 Online Video Courses and Course Packages

When a course (or purchased content including but not limited to images, text, video, audio, hereinafter "Content") becomes available, you are deemed to have received delivery of the course (Content) as soon as you start downloading the Content via your browser or mobile device, or begin viewing the course video or Content.

After you legally purchase the course (Content) under this Agreement, Morld School imposes no time limit on usage; you may view the purchased course content an unlimited number of times, provided that you do not violate this Agreement or any applicable laws and regulations.

If a course is delisted from the Platform due to termination of the instructor's license, intellectual-property disputes, third-party rights-holder requests, operational necessity, or other reasons not attributable to Morld School, Morld School shall announce the delisting on the Platform and notify you by email 30 days in advance. Your right to view that course shall terminate upon delisting. If you legally purchased the course before delisting and the delisting was caused by the aforementioned reasons, Morld School will assist you in obtaining a substitute course of equivalent value or provide a pro-rata refund based on the amount you paid (the proportion viewed shall be calculated based on the learning progress recorded in Morld School's backend).

6.2 Online 1-on-1 Tutoring

Tutoring courses are real-time services with sessions scheduled in advance by the instructor. After the Member completes payment, the tutor will contact you to schedule lesson times based on the tutor's available hours. The service period for tutoring courses is based on the total hours stated on the purchase page, and all sessions must be booked within 6 months from the date of purchase. Any hours not booked by the deadline shall be deemed used, and no refund or extension shall be granted.

7. Warranty of Authorization

1. Morld School warrants that the Service contents authorized to you under this Agreement are owned by a lawful rightsholder.
2. If Morld School breaches the preceding paragraph and you can no longer use the Services, Morld School shall compensate you for your loss, limited to either substitution with similar courses or a full refund of the license fee you paid for that course.
3. Without Morld School's prior written consent, you are strictly prohibited from transferring the right to use the Services to others, including but not limited to:
   • Sharing your member account or the school_token authentication cookie with others
   • Sharing, reposting, or making public the HLS streaming links (m3u8 / .ts segments) or downloaded video files provided by the Platform
   • Attempting to crack, bypass, or regenerate the short-lived tokens or encryption keys of the Platform's HLS streaming
   • Publicly screening or rebroadcasting course content
   • Reselling course redemption vouchers, discount codes (including MORLD10, MORLD20, etc.), or proof of purchase

8. License Fees

1. The amount of the license fee for the Services is as stated in the purchased content list.
2. Morld School may offer products, courses, or services at promotional prices through discount codes, sale prices, or member-exclusive offers, allowing you to decide freely whether to purchase at the added price.
3. Courses or services purchased at the added price under the preceding paragraph shall apply Section 16 mutatis mutandis upon termination of the Agreement.
4. When this Agreement is concluded, gifts that Morld School provides to you as "complimentary items" shall not be requested back by Morld School upon termination or rescission of this Agreement. Morld School shall not claim that the value of such gifts be deducted from any refund. The same applies to Agreements concluded with bonus course quantities or usage periods as content.
5. The value of "gifts" in the preceding paragraph shall not exceed one-half of the value of the educational courses or services.

9. Payment Method

1. The parties agree that the license fee for the Services shall be paid in a single, full payment through ECPay, supporting VISA / MasterCard / JCB credit cards.
2. The Platform currently does not offer installment payments. Should installment payments become available in the future, this will be announced separately on the Platform and this Agreement will be revised accordingly.
3. Refunds will be returned to the original credit card account; processing time depends on the issuing bank. For any installment-payment orders that require a refund, the entire order must be refunded in full; partial refunds are not available.

10. Authorized Use Principles

If any of the following circumstances apply to you, you shall bear all legal responsibility, and Morld School may notify you to immediately terminate this Agreement upon discovering such circumstances, which you may not refuse:

1. You intentionally disseminate computer programs that interfere with the normal operation of the Platform's system, or carry out modifications, reproductions, reverse engineering, disassembly, or any attempt to obtain the source code or content of any function or program of the Platform.
2. You attempt to crack, bypass, remove, or attack any technical protection measures used by the Platform, including HLS encryption keys, short-lived tokens, JWT, the school_token cookie, and CDN signing mechanisms.
3. You use automated tools, crawlers, or improper means to massively download course audio/video content, handouts, or attachment files from the Platform.
4. You distribute on the Platform any threats, defamation, infringement of others' privacy, pornography, or other text, images, or videos that violate mandatory or prohibitive provisions or public order and morals.

In the circumstances of the preceding paragraph and Sections 7(3), 11(7), Morld School has the right to determine and immediately cease transmission (delist) of any of the aforementioned content and take corresponding actions, including but not limited to suspending all or part of your use of the Services, removing the content, or preserving relevant records.

If you engage in other unlawful activities or breach the agreed matters under this Agreement on the Platform, and the circumstances are serious, and you fail to or cannot rectify within 3 days after Morld School's notice to you, Morld School may notify you to immediately terminate this Agreement, which you may not refuse.

Where Morld School terminates this Agreement under paragraphs 1 and 3 of this Section, Section 16 shall apply mutatis mutandis.

11. Your Obligations

1. You are obligated to pay the license fees arising from your use of the Services.
2. You are obligated to safeguard your member account, personal password, and the school_token authentication cookie issued upon login, to prevent disclosure to or acquisition by third parties.
3. When using the Services, you are obligated to abide by the authorized use principles set forth in this Agreement. In addition to this Agreement, other terms, policies, or rules published by Morld School on the Platform (including but not limited to user terms, privacy policy, refund rules, Q&A, etc.) shall be deemed part of this Agreement and shall be observed by you.
4. If the personal information you registered under this Agreement is erroneous or has changed, you shall promptly notify Morld School to request correction. If your rights and interests are harmed due to your failure to notify, you shall bear the responsibility.
5. You shall provide and continuously maintain the authenticity and completeness of all personal information used to create the account. All personal information is deemed essential for registration; any falsity or incompleteness in the personal information provided when creating the account shall be deemed a breach of this Agreement.
6. You are responsible for all activities and behaviors conducted after your member account logs into the system, including but not limited to any related fees incurred.
7. You may not reproduce, publicly transmit, resell, publicly broadcast, share, or download any content of the Services (including HLS streaming, handouts, attachments, tutoring recordings, etc.) by means other than the Platform.
8. During and after the term of this Agreement, you may not engage in any acts that maliciously damage Morld School's reputation.

12. Handling of Unauthorized Account Usage

1. The act of logging into the Platform using your member account and personal password is presumed to be your act.
2. If you discover that your member account or personal password has been unlawfully or improperly used by a third party, you shall immediately notify Morld School. Upon your confirmation of such unlawful or improper use, Morld School will immediately suspend the use of that member account or personal password and allow you to change your member account or personal password.

13. Service Quality

1. Morld School shall provide Services with reasonably expected security, and shall ensure that its system equipment does not experience errors, screen pauses, lags, interruptions, or inability to connect.
2. If Morld School breaches the preceding paragraph due to reasons attributable to itself, it shall correct or repair immediately within 48 hours.
3. You understand that courses on the Platform are provided by individual instructors. Morld School endeavors to require instructors to provide accurate teaching content and materials. Upon being notified or otherwise becoming aware of possible errors in course or material content, Morld School will assist you in confirming the content with the instructor and complete an initial confirmation with the instructor within 3 business days from the date of notification or awareness.
4. When you use the Services and serious system anomalies, errors in teaching content, or errors in teaching materials occur more than 3 times, and you immediately notify Morld School, and Morld School fails to repair or correct as required, you may notify Morld School to terminate this Agreement directly. Morld School may not refuse, and Morld School shall return your license fee under Section 16 mutatis mutandis.
5. When you use the Services and quality defects arise due to reasons attributable to third parties cooperating with Morld School (including but not limited to ECPay payment, Google Cloud Run computing, Cloudflare R2 storage and Workers, Cloud Run Job video transcoding, etc.), Morld School will immediately correct or repair such defects.
6. Morld School does not warrant the following:
   • That the Services will fully meet your specific requirements.
   • That any products, services, information, or other courses purchased or obtained on Morld School will fully meet your expectations. Whether to use the Services in light of this shall be at your discretion and risk.

14. Performance Guarantee for Operators

If the prepayment period for the Service license fee exceeds one year and the prepaid amount exceeds NT$50,000, Morld School will, in accordance with the Trust Law, open a dedicated trust account or have a bank provide a performance guarantee for the portion exceeding the threshold.

15. Handling of Service Suspension

1. Morld School may suspend all or part of the Services when conducting necessary operational relocation, replacement, upgrade, maintenance, or repair of the Service-related software and hardware.
2. If Morld School suspends all or part of the Services for the reasons in the preceding paragraph, it shall announce the suspension on the Service homepage and within the Service 7 days before the suspension, and notify you by email. This does not apply, however, in case of temporary, urgent, or non-attributable reasons.

16. Termination and Refunds

16.1 Refund Conditions for Online Video Courses

Refunds for online video courses (self-paced) are determined by the date of purchase and viewing status. "No formal paid lesson watched" means that the cumulative playback progress of every formal paid lesson (excluding free preview lessons) is 0 seconds; once any formal paid lesson has a recorded playback progress greater than 0 seconds in Morld School's backend, it is deemed "watched".

• Within 7 days of purchase AND no formal paid lesson watched (free preview lessons excluded): 100% refund
• Between 8 and 14 days of purchase AND no formal paid lesson watched (free preview lessons excluded): 30% refund
• 15 or more days after purchase: no refund
• Playback progress greater than 0 seconds on any formal paid lesson (free preview lessons excluded): no refund

16.2 Course Packages

Packages are bundled products that may only be refunded as a complete set; partial refunds for individual courses are not available. All courses within the package must simultaneously satisfy the conditions in "16.1 Refund Conditions for Online Video Courses" for a refund.

16.3 Online 1-on-1 Tutoring

Tutoring courses are real-time services scheduled in advance by the instructor. No refunds after payment. If the instructor cancels a scheduled session for reasons attributable to the instructor, Morld School will fully refund the session or assist in scheduling alternative times, handled by Morld School customer service on a case-by-case basis.

16.4 Crowdfunding Failure or Instructor Non-fulfillment

If a course's crowdfunding fails or the course instructor does not fulfill the obligations agreed with Morld School, Morld School will fully refund the fees you paid to protect your rights.

16.5 One-time Digital Content

For one-time digital content such as images or text, the course refund provisions in this Section do not apply.

16.6 How to Apply for a Refund

Please send an email from your purchase account's verified email address to service@unood.me, providing:

• The real name used at the time of purchase
• The name of the course or package for which you are requesting a refund
• The reason for the refund (please describe in detail)

The validity of the refund shall be determined based on the timestamp of the refund application email.

16.7 Refund Amount and Promotion Handling

• Refunds will return only the amount actually paid; discount codes used in the original order (such as MORLD10 / MORLD20) and other platform promotions will not be returned
• For credit card payments, refunds will be returned to the original credit card account, with processing time subject to each issuing bank
• For installment-payment orders, full refunds of the entire order are required; partial refunds are not available

16.8 Settlement and Disbursement

After termination of this Agreement, Morld School shall settle and disburse the Service license fees pursuant to this Section.

17. Amendments to the Agreement

1. When Morld School amends this Agreement, it shall announce the amendment on the Platform 30 days in advance and notify you by email.
2. If you do not express objection and continue to use the Services, Morld School shall continue to provide the Services in accordance with the amended Agreement.
3. If you disagree with the amendment in paragraph 1, you may, within 30 days of the announcement, claim against Morld School to terminate the Agreement. Morld School shall return your license fee pursuant to Section 16 mutatis mutandis.

18. Right to Complain

You may complain about the Services provided by Morld School by email to service@unood.me. Morld School shall handle the complaint appropriately within 15 days of receipt.

19. Indemnification

You agree to indemnify Morld School Group and its management, directors, employees, agents, and contractors for any claims, demands, losses, liabilities, damages, or expenses (including but not limited to reasonable attorney's fees) arising from:

1. Content you publish or submit
2. Your use of the Platform
3. Your breach of this Agreement
4. Your infringement of any third-party right while using the Platform

20. Invoicing and Tax

1. Morld School will issue an electronic invoice through ECPay and send it to your member-verified email address after you purchase a course.
2. If you purchase a course outside of Taiwan, Morld School may be exempt from issuing an invoice pursuant to the tax laws of the Republic of China.

21. Annexes to the Agreement

1. The annexes to this Agreement (including but not limited to the privacy policy, refund rules, Q&A, and other related rules published on the Platform) are part of this Agreement.
2. If the contents of the annexes in the preceding paragraph conflict with the terms of this Agreement, the provision more favorable to you shall apply.
3. Upon the formation of this Agreement, Morld School will provide you with this Agreement and related annexes for download, printing, and storage.

22. Governing Law and Jurisdiction

1. This Agreement shall be governed and interpreted in accordance with the laws of the Republic of China (Taiwan).
2. For any disputes arising from this Agreement, the parties agree to designate the Taiwan Taipei District Court as the court of first instance, without precluding the application of Article 47 of the Consumer Protection Act or Article 436-9 of the Code of Civil Procedure regarding the small-claims jurisdiction.
